HCTA By-Laws

The HCTA Bylaws are currently under review and update by Trustees Bob Danna and Bryan Lewis. Their recommendations will be presented to the full Board for a vote/implementation.

Harvey Cedars Taxpayers Association, a New Jersey Non-Profit Corporation

ARTICLE I

ORGANIZATION AND OBJECTIVES

Section 1: Name

The name of this organization shall be the Harvey Cedars Taxpayers Association, which shall be registered as a Non Profit Corporation in accordance with the rules and laws of the State of New Jersey.

Section 2: Purpose

The purpose of the organization is to enhance the quality of life for the residents and taxpayers of the Borough of Harvey Cedars in Ocean County, New Jersey and to facilitate communication among the taxpayers and between the taxpayers and government.

Section 3: Officers and Trustees

The Organization’s membership shall elect Trustees of the Association who shall be empowered to elect officers and conduct business on behalf of the Association. Trustees shall number no less than 5 individuals and no more than 15 individuals in the aggregate. In the event less than 5 individuals stand for election or hold the office of Trustee at any given time, the Trustees may elect to temporarily suspend the minimum requirements at their discretion for a period not to exceed one year.. Trustees shall be elected for a minimum of one (1) year and a maximum of two (2) years and shall be elected to staggered terms with at least three Trustees serving a two year term at any given time.

The Trustees, upon their elections, shall then elect a minimum of five (5) Officers of the Association which shall be: President, Vice-President, Recording Secretary, Corresponding Secretary and Treasurer. These officers will generally posses duties and powers ordinarily associated with such titles.

ARTICLE II

MEMBERSHIP

Any resident and or property owner, possessing legal title and rights to real property in the borough of Harvey Cedars, NJ who pays, or causes to be paid, appropriate property tax on such property and who is at least 18 years of age may become a member of the Association.

ARTICLE III

MEETINGS

Section 1: Annual and General Meetings

At least one Annual Meeting for all Members shall generally be held in Harvey Cedars, NJ in the late summer or fall. Additional General Meetings for all Members may be scheduled from time to time and shall also be held in Harvey Cedars, NJ

Section 2: Other Meetings and Business

Initial Meeting, Organizational Meetings and Other Meetings:

A. A date and place will be set for an Initial Meeting to formalize the Association and establish the Organizing Committee as initial Trustees of the Association.

B. Election of Trustees shall be held at the Annual meeting. The Trustees elected shall be those seeking office, who meet the qualifications of membership and who receive a majority of the votes of those members who are present and voting at the meeting.

C. The Trustees and Officers shall meet at intervals during the year as required to conduct the organization’s business.

ARTICLE IV

BY-LAWS

Section 1: Adoption

By-Laws for the Association may be adopted at any Annual or General meeting of the Association by a majority vote of the members of the Association present and voting at the meeting.

Section 2: Amendment

The By-Laws may be amended by majority vote of the members present at any Annual or General meeting or by a majority vote of the Trustees during a regularly scheduled Trustee meeting and subsequently ratified by a majority vote of members at a General or Annual meeting.

ARTICLE V

MISCELLANEOUS

Section 1: Corporate Seal

The Secretary of the Association will be custodian of the Corporate Seal.

Section 2: Financial Matters

The Association’s Trustees shall maintain a bank account in the State of NJ and all appropriate financial records of the Association’s funds, collections and disbursements. Such financial and account records shall be made available for inspection from time to time to any member or group of members upon written request to any Trustee.

The Association’s Trustees shall generally empower the Association’s Treasurer to deal with the financial matters of the Association.

The signature of the Treasurer or President shall be the only authorization required to make financial transactions for the Association. With any changes in the offices of the President or Treasurer, the Recording or Corresponding Secretary of the Association shall file with the Association’s Bank the necessary papers authorizing the new signatures. Any significant disbursement shall require the joint signatures of both the Treasurer and any one additional Officer of the Association.

Section 3: Indemnification

The Corporation shall indemnify and hold harmless each Officer and Trustee, including former Officers and Trustees, for any acts or omissions associated with the fulfillment of their duties under these By-Laws to the full extent of the laws of the State of New Jersey and the United States of America and also to the extent permitted by the New Jersey Nonprofit Corporation Act, or any such succeeding act, law or rule.

Section 4: Privacy and Personal Information

The Association shall adopt and maintain a privacy and personal information protection policy in general accordance with applicable rules and laws.

Section 5: Official Communications

The Association may develop and publish various communication vehicles including, but not limited to, newsletters, emails, position papers, surveys, letters and other documents which are all subject to approval of the Trustees of the Association. No Member, Trustee or Officer may communicate on behalf of the Association without such Trustee approval or utilize Association information or data for any purpose other than Association business.

The Association may also maintain a web site or an alternate other electronic forum for the purpose of enhancing communication with Members. The web site shall be maintained and administered by an outside third party whenever possible.

Section 6: Censure and Removal

Any Trustee, Member or Officer who violates the Association’s By-Laws or Policies or whose behavior in connection with Association business may cause harm, injury or damage to any individual or to property may be subject to Censure or Removal from office or membership as determined by a majority vote of the Trustees of the Association.
